The Stichting Converium Securities Compensation Foundation ("Foundation") is a Dutchlegal entity. The purpose of the Foundation is to represent the interests of shareholders who are non-US residents and who purchased Converium Holding AG ("Converium") common stock on the SWX Swiss Exchange or any other stock exchange located outside the United States of America during the period between 7 January 2002 and 2 September 2004 inclusive (the "Non-US Shareholders") and interest groups. In July 2010, Settlement Agreements between (1) the Foundation and Vereniging VEB NCVB ("VEB") and SCOR Holding (Switzerland) AG ("SCOR") (formerly "Converium") and (2) between the Foundation and VEB and Zurich Financial Services Ltd. ("ZFS") to compensate eligible Non-US Shareholders were signed by the parties. On 9 July 2010, the Foundation, with SCOR, ZFS and VEB, filed a joint Petition with the Amsterdam Court of Appeal requesting the Court to declare the Settlement Agreements binding. In a provisional judgment issued on 12 November 2010, the Amsterdam Court of Appeal ruled that it has jurisdiction to declare the Settlement Agreements binding and directed the Parties to serve notice to the Non-US Shareholders. On 17 January 2012, the Amsterdam Court of Appeal declared in its final judgment the Settlement Agreements binding. The judgement of 17 January 2012 can be downloaded from this website.

 

Further to the provisions of the Settlement Agreements, notice of the binding declaration has been sent to all known Non-U.S. Exchange Purchasers. The notice sets out how, and before what date, Non-U.S. Exchange Purchasers who do not wish to be bound by the Settlement Agreements, must submit an opt-out request. The notice also refers to the claim form which must be timely filed with the claims administrator in order for a Non-U.S. Exchange Purchaser to be eligible to participate in the proceeds of the settlements. After the relevant dates for filing opt-out requests and for filing claim forms have passed and claims processing has been completed, the net settlement amounts will be distributed pursuant to the terms of the Settlement Distribution Plan.
